1. Acceptance of Terms
By purchasing, downloading, installing, or using Pareto Cart Guard (“the Plugin”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Plugin.
These Terms apply to:
– FREE Tier: Users of the free Cart Guard plugin from WordPress.org
– PRO Tier: Purchasers of Cart Guard PRO licenses from ParetoEdge.com
– API Users: Any site using our cart validation API (cg.paretoedge.com)
2. License Grant
2.1 FREE Tier License
Cart Guard FREE is licensed under GNU General Public License v2.0 (GPL-2.0). You may:
– Use the plugin on unlimited sites
– Modify the source code
– Distribute modified versions under GPL-2.0
Limitations:
– Maximum 1 active rules per site
– 100 API calls per month
– Community support only (WordPress.org forums)
2.2 PRO Tier License
Cart Guard PRO is a commercial license with the following terms:
Single Site License ($99/year):
– Valid for one WordPress installation (single domain)
– Unlimited active rules
– 100,000 API calls per month
– Priority email support (24-hour response time)
– Free onboarding call (30 minutes)
Agency License ($299/year):
– Valid for up to 10 client sites
– Unlimited active rules
– 1,000,000 API calls per month
– Dedicated account manager
– Free onboarding + quarterly strategy calls
License Restrictions:
– Licenses are non-transferable (cannot be sold or given to others)
– One license = one domain/URL (e.g., example.com or shop.example.com)
– Staging/development sites do not count toward license limit (must use .local, .staging, or .dev domain)
– License must be activated via Settings → Cart Guard → License tab in WordPress
– Sharing license keys publicly voids the license (no refund)
3. API Usage Limits and Fair Use
3.1 API Call Limits
Cart Guard validates shopping carts via our API (api.paretoedge.com). Each cart validation counts as one API call. Limits:

3.2 Overage Policy
If you exceed your API limit:
1. Soft-Fail Mode: Plugin continues working but logs warnings (default)

3. Throttling: API may rate-limit requests (503 errors)
4. Upgrade Required: To restore full functionality, upgrade plan or wait for monthly reset
Abuse Prevention:
– Intentional abuse (e.g., scripted attacks, bot traffic) will result in immediate suspension
– Repeated overages (3+ months) may require plan upgrade or account review
– DDoS or malicious use will be reported to authorities
3.3 Fair Use
You may not:
– Resell API access to third parties without explicit written agreement granted to you
– Use Cart Guard for cryptocurrency mining or blockchain validation (unrelated to WooCommerce)
– Build a competing cart validation service using our API
– Scrape, reverse engineer, or decompile the API
– Share license keys publicly (GitHub, forums, tutorials)
4. Payment and Billing
4.1 Payment Methods
We accept:
– Credit/Debit Cards (Visa, Mastercard, Amex, Discover) via Authorize.net
– Cryptocurrency (Bitcoin) via BTCPay Server
4.2 Subscription Billing
- PRO licenses are annual subscriptions (auto-renew)
- You will be charged 30 days before expiration (renewal reminder email sent)
- Prices are in USD and subject to change (existing customers grandfathered)
- Failed payments result in license suspension

4.3 Taxes
You are responsible for any sales tax, VAT, or GST owed in your jurisdiction. Prices do not include taxes unless stated.

Summary: 30-day money-back guarantee for first-time PRO purchases, provided:
– Request within 30 days of starting free trial (not purchase date)
– Less than 10% API usage consumed

Renewals, custom services, and high-usage accounts do not qualify for refunds.
6. Termination
6.1 Termination by You
You may cancel your subscription at any time via http://www.paretoedge.com/my-account. You retain access until the end of your current billing period (no prorated refunds).
6.2 Termination by Us
We may suspend or terminate your license if you:
– Violate these Terms (e.g., sharing license keys, API abuse)
– Fail to pay subscription fees after grace period
– Engage in fraudulent activity or chargebacks
– Use Cart Guard for illegal purposes (see Section 7)
Effect of Termination:
– License key deactivated immediately
– API access revoked (plugin stops validating carts)
– No refund for remaining subscription period (except for our breach)
– Data deletion within 90 days (request immediate deletion via [email protected])
7. Acceptable Use Policy
You may not use Cart Guard to:
– Sell illegal products (drugs, weapons, stolen goods, counterfeit items)
– Violate intellectual property rights (pirated software, fake designer goods)
– Facilitate fraud, money laundering, or terrorism financing
– Violate GDPR, CCPA, or other privacy laws (collect PII without consent)
– Spam customers or send unsolicited marketing emails
Consequences: Immediate license termination, no refund, potential legal action.
8. Intellectual Property
8.1 Ownership
- Cart Guard FREE: GPL-2.0 licensed (open source)
- Cart Guard PRO: Proprietary code owned by Pareto Edge, LLC
- API Service: Proprietary technology owned by Pareto Edge, LLC
- Trademarks: “Pareto Cart Guard,” “Cart Guard PRO,” and logos are trademarks of Pareto Edge, LLC
You may not:
– Remove copyright notices or license files from the plugin
– Rebrand Cart Guard and sell as your own product
– Use our trademarks without written permission
8.2 User Content
You retain ownership of:
– Your cart validation rules (conditions, actions, logic)
– Your customer data (cart contents, order history)
– Your site content (product descriptions, images)
We may use anonymized, aggregated data for:
– Improving Cart Guard features (e.g., “30% of users create BOGO rules”)
– Marketing materials (“10,000+ active sites”)
– Security monitoring (detecting API abuse patterns)
9. Privacy and Data Collection

– License key, site URL, WooCommerce version
– API usage stats (calls per day, rule types used)
– Validation logs (blocked carts, violation types) – no customer PII
– Email address for billing and support
Data We Do NOT Collect:

– Payment card details (handled by Authorize.net/BTCPay)
– Product SKUs or pricing (only generic rule conditions)
– Cart contents (we validate rules, not store data)
Data Retention:
– Active licenses: Data stored indefinitely
– Canceled licenses: Data deleted after 90 days (or on request)
10. Warranties and Disclaimers
10.1 Service Availability
We strive for 99.9% API uptime but do not guarantee uninterrupted service. Maintenance windows may occur (announced via email).
10.2 Compatibility
Cart Guard is compatible with:
– WordPress 5.8+ and WooCommerce 5.0+
– PHP 7.4+ (8.0+ recommended)
– Most themes and plugins (we cannot test all combinations)
Not Responsible For:
– Theme conflicts (contact your theme developer)
– Third-party plugin conflicts (we provide troubleshooting support)
– Custom modifications to WooCommerce (hire a developer)
10.3 Disclaimer of Warranties
Cart Guard is provided “AS IS” without warranties of any kind, express or implied, including:
– Merchantability
– Fitness for a particular purpose
– Non-infringement
– Accuracy or reliability
You Use Cart Guard at Your Own Risk. We are not liable for:
– Lost revenue due to plugin errors
– Customer complaints or chargebacks
– Data loss or corruption
– Security breaches (keep WordPress/WooCommerce updated)
11. Limitation of Liability
Maximum Liability: Our total liability for any claim related to Cart Guard shall not exceed the amount you paid us in the past 12 months (or $100, whichever is less).
Excluded Damages: We are not liable for:
– Indirect, incidental, or consequential damages
– Lost profits or business opportunities
– Data loss or corruption
– Third-party claims (e.g., customer lawsuits)
Exception: Liability cannot be excluded for gross negligence, willful misconduct, or violations of applicable law.

Example: If a customer sues us because you used Cart Guard to validate illegal product sales, you will cover our legal fees and damages.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of Montana, United States, without regard to conflict of law principles.
13.2 Arbitration
Any dispute shall be resolved through binding arbitration (American Arbitration Association rules) in Flathed County, Montana. Exceptions:
– Small claims court (disputes under $10,000)
– Injunctive relief (e.g., stopping trademark infringement)
No Class Actions: You agree to resolve disputes individually, not as part of a class action lawsuit.

16. Miscellaneous

Our failure to enforce a right does not waive that right.

You may not assign your license to another party without our written consent. We may assign these Terms as part of a merger or acquisition.
By using Cart Guard, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
